    Director Candidates & Executive Officers

Today, LIXIL’s Nomination Committee has announced its slate of proposed candidates for election to the Board of Directors at the AGM. The company plans to re-elect nine of the current ten Directors. For the new appointments, Yugo Kanazawa, who will serve as Representative Executive Officer, Executive Vice President and Chief Operating Officer (COO), and Mariko Fujita, Executive Officer and CFO, have been selected as internal director candidates. Additionally, Ms. Yayoi Tanaka has been nominated as a new outside director candidate. Under this proposal, the Board will expand from ten to twelve members.

During his tenure as Chief Digital Officer, Kanazawa has driven the digital transformation of LIXIL across all fronts. This includes the implementation of digital sales methodologies and company-wide AI integration as well as enhanced cybersecurity, which together resulted in improved customer and employee experiences. He has been nominated for the Board with the expectation that he will provide strong leadership in accelerating innovation and decision making in his new role as COO. Fujita was appointed CFO in 2024 and has overseen the accounting and financial divisions while spearheading the development of a robust financial foundation. In the new executive structure effective April, she is expected to execute her duties in close collaboration with the CEO and COO while further contributing to management decision making at the Board through her multifaceted perspective.

Ms. Tanaka brings deep expertise in the management and evaluation of non-profit organizations along with extensive experience in national fiscal oversight. She previously served as President of the Board of Audit of Japan and sat on numerous government committees. She has also served as an outside director for several listed companies where she advised on community coexistence projects and championed women’s empowerment. Her insights are expected to be vital in identifying challenges and risks while enhancing the effectiveness of corporate governance and contributing to sustainable corporate value.

Jin Montesano, who has served as Director and Representative Executive Officer as well as Chief People Officer is set to retire from her role. Montesano has played a pivotal role in the transformation of LIXIL by driving the Impact Strategy and strengthening the SATO business as well as promoting Diversity and Inclusion. Following her retirement from the Board, she will serve as an Advisor and continue to contribute to the growth of LIXIL through her extensive expertise.

LIXIL's Board of Directors also resolved to retain seven out of the current eight Executive Officers, aside from Montesano, who will step down. In addition to CEO Kinya Seto, Kanazawa will be newly appointed as Representative Executive Officer starting in April in his new capacity as Representative Executive Officer, Executive Vice President and COO. Furthermore, Erin McCusker, who has led numerous key businesses such as the SATO business, has been newly appointed as Executive Officer, Executive Vice President and will serve as Chief Impact Officer. In this role, she will oversee Communications and External Affairs as well as the Impact Strategy.
